1. Introduction Welcome to The Aetos. By accessing our services, you agree to these Terms and Conditions. This agreement is governed by the regulations of the Government of India and/or the United Arab Emirates (UAE), based on your jurisdiction. If you disagree with any part of these terms, you must not use our services.

2. Definitions

  • “Client”: Any person, entity, or company engaging with The Aetos.
  • “Services”: Encompasses design, development, consulting, and related digital services.
  • “Content”: Refers to all materials, designs, strategies, and other outputs provided by The Aetos to the client.

3. Scope of Services The Aetos provides the services outlined in the Project Agreement or Scope of Work (SOW). Any changes or expansions to the project must be formally agreed upon in writing.

4. Compliance and Regulatory Adherence The Aetos follows all applicable Indian and UAE laws, including data protection regulations (e.g., India’s IT Act and UAE’s Cybersecurity Law). The client agrees that they shall also comply with any local laws when using our services.

5. Intellectual Property and Ownership

  • Client Materials: The client retains all rights to their materials.
  • Aetos’ Deliverables: The Aetos retains intellectual property rights over any tools, templates, or proprietary materials created, unless explicitly transferred in writing.

6. Confidentiality and Data Protection The Aetos agrees to maintain the confidentiality of sensitive client data and to comply with all applicable data protection laws. The client agrees to reciprocate for any confidential information shared by The Aetos.

7. Payment and Billing Payments must be made in accordance with the project terms. Clients in India and the UAE will be billed in their local currency where applicable, and all invoices must be paid within the agreed-upon timeline to avoid late fees. Payment terms may also be subject to local taxes (e.g., GST in India or VAT in the UAE).

8. Client Responsibilities The client must provide timely feedback, resources, and approvals to facilitate efficient project completion. Delays in these areas may impact delivery timelines.

9. Limitation of Liability The Aetos is not liable for any indirect or consequential damages. Our total liability for any claims related to the project is limited to the fees paid by the client for that specific project.

10. Indemnification The client agrees to indemnify The Aetos for any legal claims arising from the use of our services or deliverables, in accordance with the local laws in India or UAE.

11. Governing Law and Dispute Resolution

  • For Indian Clients: This agreement is governed by the laws of India, and any disputes shall be subject to the jurisdiction of the courts in [relevant city in India].
  • For UAE Clients: This agreement is governed by the laws of the UAE, and any disputes shall be subject to the jurisdiction of the courts in [relevant city in UAE].

12. Termination of Agreement Either party may terminate the project with prior written notice if there is a breach. The Aetos reserves the right to retain any payments made prior to termination.

13. Compliance with Anti-Bribery and Anti-Corruption Laws The Aetos complies with all applicable anti-bribery and anti-corruption laws in India and the UAE. The client also agrees not to engage in any activities that may violate such regulations while using our services.

14. Amendments The Aetos reserves the right to modify these Terms and Conditions. Continued use of our services indicates acceptance of any changes.
